Academy Board Reacts to Delaware Change

SPECIAL ANNOUNCEMENT FROM THE ACADEMY:
July 30, 1999
Dear Academy Member:
As you may have heard, there has been a change in the process for determining
your consent to consolidation. Delaware has amended its state corporation
laws from requiring that two-thirds of the eligible members affirm their
consent on the organization's consolidation to a simple majority. (We
emailed notice of this change on July 27 to Academy members for whom we have
email addresses, and faxed or mailed to the rest.)
The Board of Directors was concerned with how this midstream change might be
perceived by members. Some may view it as having an impact on the issue.
Others may not. If you have already completed and returned your response
form and now wish to change your decision, a second response form is being
mailed to you. Since the accounting firm that is recording your response is
checking each form against a master list of members, no responses will be
counted twice. That is, this form will replace your initial response. If you
have already returned your form and do not wish to change your decision,
disregard this notice.
As we have said all along, this issue is too big to be decided simply by an
involved few. The membership should make the decision as to whether it will
be better served by one consolidated organization or the separate entities
that now exist. Please read the material that was sent to you earlier and
make your decision before August 20.

of members who did not receive the original packet of information (dated July
9). If you did not receive it, please call the Academy immediately
