As this midstream change in the requirements for consolidations of non stock
corporations has apparently caused a good deal of concern among the
membership of ABC, AOPA, and AAOP, I'd like to suggest a possible solution
that would make our leadership look really good.
Since the bylaws of the corporation can override the state law, it's
unfortunate that the bylaws of our corporations did not have this
stipulation. But, maybe it's not too late. Check with our attorneys to
determine if a second question can be voted on. The membership of each
organization can be given the opportunity to vote to change their bylaws to
require a 2/3 majority for consolidation of the corporations effective prior
to the count of the second vote which is the decision to consolidate.
